Common Mistakes by Bidders

1. Compatibility of Desktop Computer / Laptop

The desktop / laptop computer should be installed with “Java Runtime Environment” and ‘Digital Signature Certificate” driver to make it compatible for operation of e-Procurement platform. 2. Registering new Digital Signature Certificate

On expiry of the validity of digital signature certificate or change of digital signature certificate, the new / renewed digital signature certificate should be registered in the e-Procurement platform. The registration of the new / renewed digital signature certificate can be performed by the supplier / contractor by following the following path.

3. Entry of Correct Bank Information

Suppliers / Contractors need to enter correct bank account information, particularly name of bank, name of the branch, full account no. and IFSC code, and upload the first page of bank pass book / cancelled cheque / authorisation from the bank. This will facilitate easy verification of bank account and quick refund of EMD. The bank account information can be edited by the supplier by clicking on ‘Edit’ button against the bank account information and signing with digital signature certificate. It is very important for the supplier to have his bank account verified by e-Procurement Cell before submission of tender to facilitate quick refund of EMDs. The suppliers shall not change their bank or their account frequently. It is suggested to use the same account for all transactions.

4. Compliance of General Conditions / Pre-Qualification Criteria / Technical Criteria

Bidders need to select the compliance status ‘Yes / No’ against each clause under General Conditions, Pre-Qualification and / or Technical Criteria. In case the compliance is not selected, the status under the category will show ‘Yellow’ triangle mark instead of ‘Green’ tick mark. The bidder to ensure this before he can submit the bid when all the categories in the bidding screen show ‘Green’ tick mark.

5. Generation of NEFT / RTGS challan

Bidders need to select NEFT mode of payment in the e-Procurement platform, select the sending bank account and refund bank account, click on ‘Pay’ button and click on ‘Print Challan’ link to generate the challan. Bidders should NOT take the screen shot of the payment information displayed for producing the same to their bank. The challan will contain dynamic account no. (which is different for each tender and each bidder) and the beneficiary account details. Bidders are advised to instruct the sending bank on entry of details as mentioned in the challan and not to furnish any other information to the sending bank while transferring the payment. Bidders should seek the unique transaction reference (UTR) no. from the sending bank, which needs to be entered correctly in the e-Procurement system by the bidder. Bidders shall ensure payment of EMD in one single transaction with one single transaction number and payment in part is liable for rejection.

6. Generation of Over-the-Counter (OTC) challan

Bidders need to select OTC mode of payment in the e-Procurement platform, select the refund bank account, click on ‘Pay’ button and click on ‘Print Challan’ link to generate the challan. Bidders should NOT take the screen shot of the payment information displayed for producing the same to their bank. The challan will contain the favouring name on whom the Demand Draft need to be obtained. Bidders are advised to instruct the sending bank on entry of details as mentioned in the challan and not to provide any information to the bank while making the payment. Bidders should seek the unique transaction reference (UTR) no. from the sending bank, which needs to be entered correctly in the e-Procurement system by the bidders.

7. Update of Transaction Number for NEFT / OTC payments

Bidders need to update the correct transaction number, as provided by the bank, and the date of payment against the slots. Any mistake in entering the correct transaction numbers against the respective tenders in the e-Procurement platform will delay the reconciliation and, hence, the opening of tenders.

8. Selection of EMD in case of split-EMD

Bidders should choose the correct option while paying EMD for tenders with split-EMD option. Many times, bidders choose the full-payment of EMD through e-Procurement, generate challan for full-payment but pay part-payment while making the payment in the bank. In such cases, the bidder will not have the slot the upload the scanned copy of bank guarantee in the tender screen, which may result in disqualification of the bidder in ‘verification of EMD’ stage.

9. Verification from sending bank on NEFT / RTGS payments

In case of NEFT / RTGS payments, any mistake in the entry of beneficiary name, account no. and IFSC code by the sending bank will result in the money returning back to sender bank account. This is as per Reserve Bank of India (RBI) guidelines. Hence, bidders should ensure payment of EMD and Tender Processing Fee atleast 2-3 working days in advance in case they choose to pay through NEFT / RTGS in order to have sufficient time to resend the payment with correct details. Bidders are also advised to ensure successful credit of payments made through NEFT / RTGS by contacting the sending bank the next day as status of payment information is sent back to sending bank within 24 hours.

10. Upload of Documents

Bidders should upload only those documents required for pre-qualification, technical or financial criteria against the prescribed slots. In case the bidder wishes to upload multiple documents in one slot, it is advised to copy all of them in a single folder, compress the same and upload. Financial documents should not be uploaded in pre-qualification or technical criteria slots. The documents upload under “General Documents” category form a part of technical documents.

11. Encryption of Financial Documents

Bidders should ensure encryption of all financial bid attachments as mentioned in the tender document prior to their upload. The ‘Sign and Encrypt’ button should appear after clicking ‘Encrypt’ button. In case the button doesn’t appear, the bidder should install Java Runtime Environment in the computer. After clicking on ‘Sign and Encrypt’, a window should appear seeking password of the digital signature certificate. In case the window doesn’t appear, the bidder should install digital signature driver in the computer. Bidders should not upload financial bid documents in other sections of the tender. Also the correct format of the financial bid should be adhered to.

Requirement of encrypted PAN on DSC for non-resident signatories of foreign companies has been relaxed. The signatory may register with a non-PAN based DSC from the CCA, India and use the same DSC while uploading the return. This facility is available ONLY for all foreign companies under the jurisdiction of respective International Taxation wards or circles of the Income Tax Department. Foreign companies still facing any difficulty may send a email to efiling@incometaxindia.gov.in or efiling.administrator@incometaxindia.gov.in giving their name, PAN and jurisdiction.

It is observed that Corporate users are registering the DSC and immediately trying to upload the I-T Return. This will throw up an Error like "Your DSC is not registered". Therefore, it is requested that whenever the new DSC is being registered or DSC is being updated, the user should first log out and then login again for the registration or updation to take effect, and then only upload the I-T return.

Where to get Pan encrypted Digital certificate? | New DSC requirement from Aug 1st 2010

For the purpose of Income Tax Return filing, “Controller of Certifying Authorities” has amended the procedure to include “Permanent Account Number” in Digital Signatures.

1. This change is with effect from August 01, 2010.

2. PAN is a NEW additional field in digital signature.

3. The old DSC may not contain this value, even though if you had given PAN while availing DSC before 01/08/2010.

4. PAN is optional, and DSC can be issued even without PAN. If the subscriber (user) intends to have PAN in it, he/she has to specifically intimate the issuer.

ITR filing with DSC:
In ITR e-filing website, filing with Digital signature remains almost similar. That is,

1. Register the DSC for particular login

2. Re-Select the same DSC while uploading the XML

Earlier procedure:

DSC was not containing the encrypted PAN value of the assessee. So, in case of firms/companies, while registering the DSC at the website, it should have got at least one earlier ITR XML uploaded/accepted and “name of DSC holder” should match with any of the director/key-person list in earlier accepted-XML return. [In case of individuals, name should match with “PAN Name in ITD database” and email ID in DSC should match with email ID in website profile]

Further while uploading the XML, the selected DSC number (unique number of DSC stored in website while registering) should match with the one used for registering. Secondly, “name of DSC holder” should match with the “Name in ITD database” for the PAN mentioned in verification part of ITR-5/6.

Major limitation here was for first-time digitally signing assessee, where he should have earlier return. Further “Matching of name” was practical problem reported by several assessees.

New procedure:

The above limitations have increased due to mandatory Digitally signing of ITR-6. To overcome this issue, CCA, through the request from ITD, has introduced a new filed in DSC issuing. In this, DSC can have PAN encoded in itself, so that it can help ITR filing.

While registration, it asks the user to enter the PAN. This PAN should match with the DSC encrypted PAN. (No other matching is done here). While uploading, selected-DSC should have the encrypted PAN matching with the PAN mentioned in ITR verification part.

With effect from:

The technical guidelines were issued by CCA, as early as at Dec-2009. With effect from August 2010, all Certifying authorities may issue DSC with encrypted PAN.
1. Assessees can also use earlier DSC, which has no encrypted PAN. In such case, “name matching” system continues as earlier.

2. Assessees, at their interest, can contact their current certifying authorities for upgradation / re-issue of DSC with the encrypted PAN. The certifying authorities can follow their own procedures for this purpose.

3. New assessees taking DSC are recommended to take with encrypted PAN.

In a recent Notification No. 49/2010 dated 9 July 2010 (Notification) issued by the Central Board of Direct Taxes, modifying the permitted modes of filing return of income (ROI) for (i) companies and (ii) individuals and Hindu Undivided Families (HUF) which are liable for tax audit.

The Notification has come into effect from 9 July 2010. According to the Notification, companies (including foreign companies) which were earlier permitted to file ROI electronically without digital signature are now mandatorily required to file ROI electronically with digital signature for tax year 2009-10 onwards.

Individuals/ HUF liable for tax audit under section 44AB of the Indian Tax Laws (ITL), which earlier had an option to file ROI in either paper form or electronic form, are now mandatorily required to file ROI electronically (with or without digital signature) for tax year 2009-10 onwards.

The Notification curtails the permitted mode of filing ROI for (i) companies (including foreign companies) and (ii) individuals/ HUF which are liable for tax audit.

The ITL requires ROI of companies to be signed and verified by the Managing Director of the company. If there is no Managing Director or for any unavoidable reason the Managing Director is not able to sign and verify the ROI, any Director of the company can comply with the requirement. In case of foreign companies, the ITL permits the return to be signed and verified by a person who holds a valid power of attorney.

The amendment necessitates that the ROI of a company should be uploaded with digital signature. Foreign companies which are required to file ROI would need to note and comply with the new requirement. Incidentally, the compliance with digital signature would reduce the time involved in the process since, under this mode, there is no need to send a signed hard copy of verification to the Tax Authority by post.

The Notification amends Rule 12(3) of the Income Tax Rules which prescribes the various modes in which taxpayers are permitted to file ROI.

As per the current system, a ROI filed electronically without digital signature is required to be followed up with signed verification which is to be sent by ordinary post to Centralized

Processing Centre of the Tax Authority at Bengaluru within a period of 120 days from the date of e-filing.

The Notification curtails the permitted mode of filing ROl for (i) companies (including foreign companies) and (ii) individuals/HUF which are liable for tax audit.

The ITL requires ROl of companies to be signed and verified by the Managing Director of the company. If there is no Managing Director or for any unavoidable reason the Managing Director is not able to sign and verify the ROl, any Director of the company can comply with the requirement. In case of foreign companies, the ITL permits the return to be signed and verified by a person who holds a valid power of attorney.

The amendment necessitates that the ROl of a company should be uploaded with digital signature. Foreign companies which are required to file ROl would need to note and comply with the new requirement. Incidentally, the compliance with digital signature would reduce the time involved in the process since, under this mode, there is no need to send a signed hard copy of verification to the Tax Authority by post.

The amendment bill, which provides for a simplified trademark registration process, was passed by Lok Sabha in December last year. It facilitates Indian and foreign nationals to secure simultaneous protection of trademarks in other countries.

New Delhi: The Finance Ministry made it mandatory for all companies to file income tax returns electronically with digital signatures, a move that will facilitate faster filing of I-T returns by India Inc.

However, digital signatures will not be mandatory for individuals and Hindu undivided families (HUFs) whose business income exceeds Rs 40 lakh or professional income is over Rs 10 lakh annually, and are mandatorily required to file returns electronically.

"It is now mandatory for all companies to file income tax returns electronically in with digital signatures," an official statement said.

Digital signature or electronic signature does not require physical verification of the signatory. Earlier, companies were allowed to file their electronic returns with or without digital signatures.

As regards individuals and HUFs, the statement said, "(those) who are required to get their accounts audited under Section 44 AB of the Income Tax Act 1961, are also required to file their income tax returns electronically with or without digital signatures."

Under the Income Tax Act, the individuals and HUFs are required to get their accounts audited if the turnover or gross receipts from business exceeds Rs 40 lakh (Rs 60 lakh from assessment year 2011-12) or receipts from the profession exceeds Rs 10 lakh (Rs 15 lakh from assessment year 2011-12).

The government had introduced the system for mandatory e-filing of income tax returns by corporates from assessment year 2006-07. The due date for submitting income tax returns for assessment year 2010-11 is July 31, 2010.

Bangalore: The wait for passport applicant is all set to be shorter,with city police networking with the passport E-seva Kendra to expedite the verification process.

Henceforth,the process of passport office sending applications for police verification manually has been eliminated.Instead,the entire process will be done online.

However,physical verification of persons antecedents by the police is not eliminated.Only the transfer of files will be online.

Speaking to reporters here on Wednesday,police commissioner Shankar Bidari said the department had already provided colour printers to 45 police stations in the city and other police stations will get the printers within a fortnight.Besides,each police station inspectors will have digital signatures,enabling them to send back the format after verification is completed.At present,after submission of passport applications,they are segregated and the list is sent to the city police commissionerate for police verif i c at i o n.From there,it is segregated again according to police stations and sent to respective police stations.After completing the verification,the police sends it back to the commissionerate and forwards it to passport office.The process of movement from one office to another takes two days each,resulting in file movement period to be spread over eight days.This period will be saved under the new system.

In the new system,soon after the application is submitted,the verification list is forwarded to DCP (Intelligence ) office online.The same day,it will be segregated station wise and will be forwarded to respective police stations.The police personnel will download the applications,complete verification,upload it again and send it back to DCP with digital signature of station house officer.The records of the person is verified again with the city crime information centre and would be forwarded back to passport office,Bidari explained.

What is a patent?

A Patent is an intellectual property right relating to inventions and is the grant of exclusive right, for limited period, provided by the Government to the patentee, in exchange of full disclosure of his invention, for excluding others, from making, using, selling, importing the patented product or process producing that product for those purposes. The purpose of this system is to encourage inventions by promoting their protection and utilization so as to contribute to the development of industries, which in turn, contributes to the promotion of technological innovation and to the transfer and dissemination of technology. A digital signature authenticates electronic documents in a similar manner a handwritten signature authenticates printed documents. This signature cannot be forged and it asserts that a named person wrote or otherwise agreed to the document to which the signature is attached. The recipient of a digitally signed message can verify that the message originated from the person whose signature is attached to the document and that the message has not been altered either intentionally or accidentally since it was signed. Also, the signer of a document cannot later disown it by claiming that the signature was forged. In other words, digital signatures enable the "authentication" and “non-repudiation” of digital messages, assuring the recipient of a digital message of both the identity of the sender and the integrity of the message.

A digital signature is issued by a Certification Authority (CA) and is signed with the CA's private key. A digital signature typically contains the: Owner's public key, the Owner's name, Expiration date of the public key, the Name of the issuer (the CA that issued the Digital ID), Serial number of the digital signature, and the digital signature of the issuer. Digital signatures deploy the Public Key Infrastructure (PKI) technology.

If you file electronically using digital signature you do not have to submit a physical copy of the return. Even if you do not have a digital signature, you can still e-File the returns. However, you must also physically submit the printed copy of the filled up Form along with the copy of the Provisional Acknowledgement Number of your e-Return

FOREIGN investors may soon be able to set up limited liability partnerships,or LLPs,in India,as the government is all set to allow foreign direct investment in this new form of business organisation.

Initially,FDI up to 49% may be allowed in LLPs in select sectors such as manufacturing,a DIPP official told ET.This could help make this form of business organisation more popular.So far,only 914 LLPs have been registered in the country.

We are ready with a discussion paper on the FDI framework for LLP, the official,who did not wish to be named,said.The current thinking within the government is to allow FDI in LLP selectively and cap it at 49% even in sectors where companies can have 100% foreign investment,he added.

LLPs are business entities that are a hybrid between companies and partnership firms.As the name suggests,partners liability is limited to the extent of their stake in the LLP.

Unlike private limited companies where the number of shareholders is limited to 50,an LLP can have unlimited number of partners.Besides,LLPs are not burdened with cumbersome compliance such as meetings and maintenance of statutory records.

Any move to ensure that LLPs have a level playing field will help the structure take-off, said Aseem Chawla,partner,Amarchand & Mangaldas,adding that it was important that regulators in various services industry recognised this structure.However,Akash Gupt,executive director,PwC,felt more was needed for this structure to take off.While allowing FDI in LLPs there is also a need to address sector regulatory issues that prohibit these entities from carrying on a particular activity, he added.

LLPs,for instance,cannot bid for a road project as per guidelines of the National Highway Authority of India.

Currently,FDI is not permitted in partnerships firms,but is allowed in companies subject to sectoral caps.In a number of manufacturing sectors 100% FDI is allowed through the automatic route.Sole proprietorship firms can also get non-resident investment on a nonrepatriable basis.

Many countries allow 100% foreign investment in LLPs though they may not be allowed to undertake certain sectoral activities.

The official said that the 49% cap on FDI will ensure that control in LLP rests in Indian hands.The RBI had written to the finance ministry and the DIPP that FDI should be allowed in all sectors for LLPs but capped at 49%.It had also favoured mandatory Foreign Investment Promotion Board (FIPB) clearance for any FDI in LLPs.

The government had notified the LLP Act on April 1,2009.But the taxation of LLPs,which is akin to partnership firms,could be clarified only in the July budget 2009-10.

The budget for 2010-11 proposes to exempt capital gains on account of transfer of assets on conversion of a company into an LLP from tax if the total sales,turnover or gross receipts of the company do not exceed Rs 60 lakh in any three preceding years.

To make the latest corporate entities called Limited Liability Partnerships (LLP) more attractive to businesses, the Government on Friday proposed to exempt the conversion of small companies into LLPs from capital gains tax.

During the presentation of the Budget 2010-11, the Finance Minister, Mr Pranab Mukherjee, said, “Last year, I had provided for the taxation of the newly introduced (LLP) on the same lines as exists for a general partnership firm. To facilitate the conversion of small companies into LLPs, I propose that this will not be subject to capital gains tax.” The Budget proposed that the transfer of assets on conversion of a company into an LLP shall not be regarded as a transfer for the purposes of capital gains tax, subject to certain riders.

These conditions include – the total sales, turnover or gross receipts in business of the company do not exceed sixty lakh rupees in any of the three preceding previous years; the shareholders of the company become partners of the LLP in the same proportion as their shareholding in the company; and no consideration other than share in profit and capital contribution in the LLP arises to partners. The LLP Act, 2008, allows conversion of a private company or an unlisted public company into a LLP. LLPs are already accorded a lenient tax regime as compared to companies as they exempted from Minimum Alternate Tax and Dividend Distribution Tax that are levied on companies.

But so far there have been only around 640 LLP registrations because small companies had to pay capital gains tax and stamp duty on conversion to LLPs.

Initially, the Finance Ministry was reportedly against any more tax breaks for LLPs and had favoured generating more awareness about the benefits of LLPs to popularise it. But the Corporate Affairs Ministry had pitched for removal of capital gains tax and stamp duty for LLPs.

The Corporate Affairs Minister, Mr Salman Khurshid, told Business Line after the Budget announcement that, “LLP was launched last year and we need to encourage more entities to join LLP as it is a very good platform. There was some hesitation about people switching from companies to LLPs, people who were using companies because there wasn't any other platform available.”

“This (capital gains tax exemption) has given an additional incentive. It is very useful. Our attempts to promote LLPs more widely this year have got a shot in the arm,” Mr Khurshid said.

“These clarifications were long overdue. But all companies should have access to convert to LLPs and not just small companies,” said Mr Aseem Chawla, Partner, Amarchand & Mangaldas, a corporate law firm.

LLP is a hybrid form partnership firms and companies. It permits unlimited number of partners in an entity. The advantage is that the liability of the partners is limited to their agreed contribution in the LLP. This set up will allow professionals like chartered accountants and company secretaries to provide all services under one roof.

The Government hopes to get the Companies Bill 2009 passed soon to improve the corporate governance and regulation. The Government has introduced the Companies Bill, 2009 in the Parliament, which will replace the existing Companies Act, 1956. “The proposed new Bill will address issues related to regulation in corporate sector in the context of the changing business environment,” the Finance Minister said.

Later, Mr Khurshid said, “Companies Bill is reaching its final stages of consideration by the Joint Parliamentary Committee and they have been working very fast. I think in the next couple of months we will get their report. We will move immediately back with whatever amendments are required in the draft and come back to Parliament again.”
